Vendor Memorandum

MEMORANDUM OF UNDERSTANDING

Between

“BRAND”

Hereunder also referred to as “Vendor”

And

MEHVER

Hereunder also referred to as “Provider”

Both, the Vendor and the Provider hereunder also referred each as “ Party” and together as the “Parties”.

Hereby, it is agreed that you will be using the services of The Provider under which all the online-orders processed by the Provider will be forwarded to your e-store at a success fee of0% of the order value until 3 months for each order processed.

Terms and Conditions

Validity Period:

· The contract has an indefinite term.

· Either Party may terminate the MOU by giving one-month prior notice in writing to the other Party.

· Provider reserves the right to change/amend Terms & Conditions within the MOU by writing one-month prior notice to the Vendor.

· Provider will share revenue sharing terms after the first phase of launch.

Confidentiality:

· Both Parties shall ensure the confidentiality of the business secrets of the Parties and the clauses and terms agreed under this MOU

Marketing:

· The Provider will promote the Vendor on its marketing channel in a manner mutually beneficial for both the Parties. In case of any general promotion activity, the Provider shall have the right to use the Brand Name and Logo on its website, Facebook page or any social media platform whatsoever, and offline channels including banners, standees and other mediums to show restaurants affiliation with the Provider to generate orders.

· The Provider maintains a ranking system for all the Brands based on the successful orders, failed rate, quality of services and customer feedback. Based on this ranking system the Provider will prioritize the Brands listing on its website.

Order Flow & Device:

· The Provider will be transferring order through online automation or phone call (Only in case of device not working).

Invoicing & Payments:

· The Provider will invoice the Vendor on monthly basis.

· Vendor shall make the payments via bank transfer within the specified time frame.

Cancelled Orders/ Delayed Delivery:

· Vendor will inform Mehver immediately in case of a cancelled order/ Delayed Delivery and email atinfo@mehver.com

· Each manufacturer is responsible for the quality of products they supply.

· Provider will not be responsible for any cancelled orders due to following reasons:

1. Wrong area or Invalid/Incomplete information (Area, address, ordered product etc.) is selected and Vendor has confirmed it from device.

2. Customer has denied paying due to late delivery or inaccurate order delivered to the customer.

3. Any other reason where mistake is from the Vendor or its staff.

Compliance & Vendor Obligations

Throughout the duration of this Agreement, the Vendor shall abide by the following provisions:

· Vendor shall ensure that all of the information made available for display on the Provider website as provided by Vendor, is accurate and up-to-date.

· Vendor shall ensure that it is available, at all times to process all orders received through the Provider in accordance with the average delivery time provided to the customers.

· Vendor shall immediately inform The Provider or make the changes on website of any article that are no longer available.

· Vendor shall ensure that the delivery time stated on the Provider’s website complies with the delivery time actually required.

· Vendor shall deliver (where applicable) all orders received through the Provider in accordance with the delivery time indicated when accepting the order.

· Vendor shall be responsible for an accurate delivery of an order.

· Vendor understands that all customers availing of the Provider services expect a professional and efficient service at all times from the Provider and the Vendors. Consequently, any customer dissatisfaction will result in a negative reputation for the Provider and Vendor which may result in loss of business for both parties. In light of this Vendor obliges itself to ensure that it shall abide by all obligations in this Agreement, as well as ensure that it shall be fully prepared to provide a complete service to all customers as would be expected from any professional business and delivery service.

· Vendor accepts not to reject orders without any unjustified reasons.

· Vendor shall keep all information relating to ordering and delivery procedures confidential and shall at no time disclose any information to customers. Specifically, in the case of customers’ complaints, Vendor shall in no case complain about or incriminate the Provider in any manner whatsoever.

Prices – Warranty

· Vendor hereby warrants that the prices made available to the Provider are identical to the real-time prices offered to customers when placing orders by phone, website, mobile app or any other platform which is operated by Vendor (“Ordering Channels”). Specifically, Vendor shall not offer any reduction in prices pursuant to any promotions and/or discounts made available to customers when placing orders through the Ordering Channels

· Vendor should intend any price reduction, promotion or discount for any of its items ordered through the Ordering Channels, Vendor shall notify The Provider at least [7] days in advance stating the extent of the price reduction, promotions or discounts, the respective effective date and the duration thereof. The Provider shall have the right to provide such offers to the Vendor’s customers on its platform.

· Vendor will ensure all prices are identical within e-store and with provider including delivery fee, discounted deals, special promotions or whatsoever.
